By creating an organizer account, inviting team members, launching a project, event, stream, ticket sale, or form, or otherwise using Africavotes organizer tools, you agree to this Organizer Agreement.
1. Introduction
This Organizer Agreement (“Agreement”) is a legally binding agreement between XOPA LIMITED, together with its subsidiaries, affiliates, successors, assigns, and authorized service providers (“Africavotes”, “we”, “us”, or “our”), and any individual or entity that creates, manages, or uses an organizer account on the Africavotes platform (“Organizer”, “you”, or “your”).
This Agreement applies to your use of the Africavotes ecosystem, including but not limited to the public website at africavotes.com, the organizer dashboard at dash.africavotes.com, and related voting, streaming, ticketing, forms, finance, API, team, and operational tools.
By using the Platform, you acknowledge that you have read, understood, and agreed to be bound by this Agreement, the Africavotes Terms of Use, the Privacy Policy, and any other published rules, policies, or operational guidelines that apply to your account or feature usage.
2. Nature of the Platform
Africavotes provides digital infrastructure that may enable Organizers to create, manage, promote, and operate:
- voting projects, pageants, contests, campaigns, polls, and nominee pages
- live streams, paid live access, replay access, and studio workflows
- ticket events, ticket types, ticket issuance, ticket orders, and event check-in
- registration, audition, application, and event forms
- organizer workspaces, team roles, activity logs, and access control
- revenue dashboards, transaction records, analytics, exports, and finance tools
- API clients, keys, and approved integrations
- branding elements such as banners, background colors, text colors, and other public-page settings
Africavotes may add, remove, restrict, or modify features at any time.
3. Eligibility and Authority
By using the Platform, you represent and warrant that you have legal capacity to enter into this Agreement, that you are authorized to act for any business or organization you represent, and that all information you provide to Africavotes is accurate, complete, and current.
4. Organizer Accounts, Security, and Team Access
You are responsible for your organizer account and for all activity carried out through your workspace, team members, invited users, API credentials, studio links, studio access codes, and check-in workflows.
If team access is enabled, you are responsible for assigning roles appropriately, reviewing what each user can access, and removing or changing access when responsibilities change.
5. Organizer Content and Event Information
You are solely responsible for all organizer-provided materials and configurations, including event descriptions, nominee content, banners, stream information, ticket details, form fields, branding assets, and any public or private content published through the Platform.
6. Organizer Responsibilities
You are solely responsible for the legality, fairness, integrity, and operation of your projects and events, including communications with contestants, nominees, attendees, buyers, registrants, sponsors, and stakeholders.
Africavotes is not the organizer, promoter, sponsor, or legal representative of your event unless expressly agreed in writing.
7. Permitted and Prohibited Use
You may use the Platform only for lawful event, campaign, community, entertainment, or business purposes approved by Africavotes.
You agree not to manipulate voting, falsify attendance or transaction records, use bots or scripts to abuse the Platform, publish unlawful or infringing content, misuse payment tools, share privileged credentials irresponsibly, scrape or reverse engineer the Platform, or engage in fraud, impersonation, or unlawful financial conduct.
8. Voting, Ticketing, Streaming, and Forms
Voting: Organizers are responsible for defining fair rules, category structures, nominee information, and clear start and end windows.
Tickets: Organizers are responsible for ticket types, ticket prices, capacities, attendee communications, access conditions, and venue-side operations unless otherwise agreed.
Live Streams and Replay: Organizers are responsible for rights clearance, studio access control, scheduling, production readiness, and viewer-facing descriptions and access terms.
Forms and Registrations: Organizers are responsible for the form content they publish, the data they collect, and how they use submissions after collection.
9. Branding and Customization
Where available, Organizers may customize public pages using banners, colors, text color overrides, and other presentation settings. You remain solely responsible for the assets and branding choices you use.
Africavotes may override or limit branding where necessary for readability, safety, platform integrity, moderation, or legal compliance.
10. Payments, Commissions, Settlements, and Payouts
Africavotes may process or facilitate payments through integrated or third-party providers. Fees, commissions, settlement percentages, transfer charges, fixed charges, or other platform charges may apply.
Such pricing may be configured globally by Africavotes or, where supported, configured per organizer, project, ticket event, stream, or product type.
For clarity:
- Commission means amounts charged in connection with a buyer or transaction as configured on the Platform.
- Settlement Percentage means the portion of qualifying revenue allocated to the Organizer where such a setting applies.
Payouts, transfers, and withdrawal eligibility may depend on verification, fraud review, chargeback exposure, payout thresholds, account verification, banking or mobile money details, and compliance with this Agreement.
Africavotes may hold funds, delay settlements, reverse or offset amounts, reject payout requests, and suspend financial access where reasonably necessary for fraud prevention, compliance, dispute management, or operational integrity.
11. Refunds, Disputes, and Reversals
Unless otherwise required by law or Africavotes policy, Organizers are responsible for defining and honoring their own refund and event participation policies.
Where refunds, reversals, claims, chargebacks, ticket disputes, stream-access disputes, or voting complaints arise, Africavotes may investigate, request evidence, hold or reverse funds, or take any action reasonably necessary to manage legal, financial, or operational risk.
12. Taxes and Compliance
You are solely responsible for taxes, regulatory obligations, reporting, receipts, disclosures, and compliance requirements arising from your projects, ticket sales, streams, voting activity, forms, transactions, and payouts.
13. Data, Analytics, Exports, and Retention
Africavotes may provide analytics, reports, exports, logs, transaction records, team activity, attendance data, and similar operational information. Such information may be delayed, estimated, filtered, archived, or subject to reconciliation.
Africavotes may retain, archive, compress, export, anonymize, or delete certain raw or derived data in line with internal operational, storage, fraud-prevention, legal, and retention policies.
14. API Access and Integrations
Where API or integration access is enabled, you are responsible for all actions initiated through your API clients, keys, tokens, and secrets. You must secure all credentials and may only use approved integrations and permitted workflows.
Africavotes may rotate, restrict, or revoke API access at any time.
15. Intellectual Property
Africavotes and its licensors retain all rights, title, and interest in the Platform, including its software, workflows, design, documentation, trademarks, logos, and proprietary systems.
You retain ownership of content you lawfully submit, but you grant Africavotes a worldwide, non-exclusive, royalty-free license to host, display, process, reproduce, distribute, promote, and adapt such content as necessary to operate and improve the Platform and provide your requested services.
16. Confidentiality and Security
You agree to protect non-public information, including credentials, transaction details, participant information, private reports, non-public technical details, and internal dashboard information not meant for public release.
17. Disclaimers and Limitation of Liability
To the fullest extent permitted by law, Africavotes is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted or error-free service, successful streaming in all environments, fraud-free transactions, or uninterrupted third-party service availability.
To the fullest extent permitted by law, XOPA LIMITED and Africavotes shall not be liable for lost revenue, lost profits, event disputes, chargebacks, streaming failures, data loss, buyer dissatisfaction, venue issues, or indirect, incidental, special, punitive, or consequential damages.
18. Indemnification
You agree to indemnify and hold harmless XOPA LIMITED, Africavotes, and their affiliates, officers, employees, agents, and contractors against claims, losses, liabilities, costs, and expenses arising from your use of the Platform, your events, your content, your team members, or your violation of this Agreement or applicable law.
19. Suspension and Termination
Africavotes may suspend, restrict, or terminate your access, features, events, payouts, API access, team access, or organizer tools at any time where reasonably necessary for fraud prevention, legal compliance, security, abuse prevention, risk management, or policy enforcement.
Upon termination or suspension, outstanding payment, liability, indemnity, dispute, and compliance obligations survive.
20. Governing Law, Changes, and General Terms
This Agreement shall be governed by the laws determined by XOPA LIMITED, subject to any mandatory laws that apply in your jurisdiction. Africavotes may amend this Agreement at any time, and continued use of the Platform after publication of changes constitutes acceptance of the updated terms.
This Agreement constitutes the entire agreement between you and Africavotes regarding organizer use of the Platform and supersedes prior understandings relating to the same subject matter. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
